These Terms of Service (“Terms”) govern your access to and use of the Humanecho platform, websites, mobile applications, widgets, APIs, and related services (collectively, the “Services”). By creating an account, accessing the Services, or continuing to use them after being notified of an update, you agree to be bound by these Terms and our Privacy Policy.
1. Eligibility and Account Responsibilities
You must be at least 18 years old and capable of forming a binding contract to use the Services. You are responsible for the confidentiality of your login credentials and for all activity under your account. Notify us immediately atsecurity@humanecho.ai if you suspect unauthorized access.
2. Subscriptions and Billing
Humanecho offers subscription plans billed monthly or annually via Stripe. You authorize us to charge the payment method on file for recurring fees until you cancel. Unless otherwise stated in an order form, subscriptions renew automatically for the same term. You may downgrade or cancel by visiting the billing page. Fees are non-refundable except where required by law or outlined in a signed order form. Late payments may result in suspension of access.
3. Use of the Services
- Do not misuse the Services, interfere with their normal operation, or access them using methods other than our published interfaces.
- Ensure you have the rights to the data you upload or connect and that sharing it with Humanecho complies with applicable laws.
- Do not use Humanecho to generate harmful, deceptive, or illegal content, or to infringe intellectual property rights.
- Enterprise customers may request regional hosting and custom retention through a separate written agreement.
4. Intellectual Property
Humanecho and its licensors retain all rights, title, and interest in the Services, including software, documentation, and branding. You own the content and data you provide to Humanecho. We may use anonymized and aggregated data to improve the Services and develop new features.
5. Confidentiality
Each party agrees to protect the other’s confidential information with the same degree of care it uses for its own. Confidential information includes business plans, product roadmaps, and customer data disclosed in connection with the Services. This obligation survives termination for three years.
6. Privacy and Security
Our collection and use of personal information is described in theHumanecho Privacy Policy. We maintain administrative, technical, and organizational measures to secure data, including encryption in transit and at rest, access controls, and regular security reviews.
7. Term, Termination, and Suspension
Either party may terminate these Terms for convenience by providing 30 days’ notice prior to the end of the current subscription period. We may suspend or terminate access immediately if you materially breach these Terms, fail to pay fees, or engage in prohibited conduct. Upon termination, you remain responsible for outstanding charges and must cease using the Services. We will provide a reasonable opportunity to export your data for 30 days following termination.
8. Disclaimers and Limitation of Liability
The Services are provided on an “as is” basis. Humanecho disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. To the fullest extent permitted by law, Humanecho’s total liability for any claim arising out of or related to the Services is limited to the fees paid to Humanecho in the 12 months preceding the event giving rise to the claim. Neither party is liable for indirect, incidental, special, or consequential damages.
9. Indemnification
You agree to indemnify and hold Humanecho harmless from claims, damages, and expenses arising out of your content, use of the Services in violation of these Terms, or infringement of any third-party rights. Humanecho will defend you from claims alleging that the Services infringe another party’s intellectual property, provided you promptly notify us and cooperate in the defense.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Dubai International Financial Centre (DIFC), without regard to conflict-of-law principles. Disputes will be resolved through good-faith negotiations. If unresolved, the parties agree to binding arbitration under the DIFC-LCIA Arbitration Rules, seated in Dubai, United Arab Emirates.
11. Changes to These Terms
We may modify these Terms to reflect product updates or legal requirements. When we make material changes, we will notify you via email or in-app banners at least 14 days before the updated Terms take effect. Continued use of the Services after the effective date constitutes acceptance.
